Acquisition Engine

Platform · Deal room

A structured data room, with a full access log

Nine folders that match how a practice acquisition is actually diligenced, opened automatically when the deal reaches offer.

Structure, so nothing goes missing

A shared drive with a folder called "stuff from seller" is where diligence goes to die. The structure is the same on every deal, so the gap is obvious.

  • Fee income · Financials · Clients and AML · People
  • Regulatory and PI · Systems · Legal and property
  • Correspondence · Heads of terms and SPA
  • Document-by-document control of what the other side can see

Questions and answers, on the record

Threaded against the deal

Questions raised during diligence sit on the deal with their answers, so the record of what was asked and what was said survives the person who asked it.

Visible to the client, or not

Each thread can be shared with the acquirer's portal or kept internal, so your working notes and your client's view are not the same thing.

Nothing is deleted

Answers are added, not overwritten. If a figure changes between the first answer and completion, both are still there.

See it on your own buying brief

The most useful demo is against a real brief — what you are buying, where, and at what size. You will see your own long list, not a demo account.
