Seven sections, in the order you work them

Fee income, financials, clients, people, regulatory, systems and legals. Each request carries a note on what it is for and what a bad answer looks like, so a junior can run the list and know when to escalate.

  • Status per request: outstanding, requested, received, in review, satisfied, issue, not applicable
  • Risk rating on the requests that most often kill a deal
  • Edit, add or delete — the list is a starting point, not a straitjacket
  • Opens by itself at the diligence stage, or earlier if you want it out sooner

The ones that matter most

In practice acquisitions the deal rarely dies on the headline number. It dies on client concentration, on fees that turn out to be one-off, on a key person with no notice period, or on a regulatory issue nobody declared. Those requests are flagged, and an issue against any of them is visible on the deal rather than buried in a checklist.
